By accessing or using AgncKit (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and AgncKit regarding your use of the Service.

Service Description

AgncKit is a software platform designed to help insurance agencies manage hiring, onboarding, training, and team operations. The Service includes, but is not limited to:

• HireIQ: Candidate assessment and evaluation tools
• TrainIQ: Training and learning management system
• Messages: Communication templates and management
• Coverage Snapshot: Professional quote generation tools
• ReputationIQ: Review management and monitoring
• PTO & Attendance: Time-off and scheduling management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Account Security

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Your Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Ensuring that your use of the Service complies with all applicable laws

Multi-Factor Authentication

We strongly recommend enabling two-factor authentication (2FA) on your account. For workspace administrators, 2FA may be required depending on your subscription tier.

Beta Feedback

We welcome your feedback during the beta period. Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

AgncKit's Rights

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of AgncKit and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

Your Content

You retain all rights to any content you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, backup, and transmit Your Content solely to provide the Service to you.

We do not claim ownership of Your Content and will not use it for purposes other than providing the Service, except in anonymized, aggregated form for improving the Service.

Feedback

If you provide feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNCKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless AgncKit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We decide to discontinue the Service
• Your use poses a security risk to us or others

Effect of Termination

Upon termination, we will delete your account and workspace data within 30 days, unless we are required to retain it for legal purposes. You may request a copy of your data before termination.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Effective Date."

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the new terms, please stop using the Service.

For significant changes, we will provide at least 30 days' notice before the changes take effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.
